An LLP must be registered before it can operate as the incorporated entity. The application should reflect an agreed membership arrangement, appropriate contact details and a plan for the reporting obligations that follow. Do not treat LLP registration as identical to forming a company limited by shares.
Agree the membership first
Identify the proposed members and at least two designated members. Members may be individuals or corporate entities, but the actual arrangement can affect tax, control reporting and compliance. [1]
Record who contributes capital, how profits will be shared and who has authority to make decisions. The LLP agreement should deal with admission, departure and disputes as well as day-to-day management.
Prepare the name and registered contacts
Check the name against Companies House requirements, including the appropriate LLP ending and any sensitive wording. Arrange an appropriate registered office in the correct registration jurisdiction and a monitored registered email. [1][2]
If using a provider's address, understand how official documents will reach the designated members. A registration address that nobody monitors creates practical risk even if the application is initially accepted.
Check the current filing requirements
Companies House offers the registration routes described in its current LLP guidance, including commercial software and paper options. Fees and processing arrangements can change, so check them at the point of filing. [1]
Review current identity-verification and PSC requirements for the members and roles involved. Do not rely on an old incorporation checklist that predates the company-law reforms or assume every corporate-member requirement has the same commencement date.
Review the application pack
- Agreed LLP name and registration jurisdiction.
- Accurate member and designated-member information.
- Registered office and email arrangements.
- The agreed membership and governance terms.
- Required control and identity information for the current process.
Retain the approved application and incorporation certificate. Check the accepted record before using the LLP details in banking or customer documents.
Organise the next steps
Arrange accounting records, tax registration and member information-sharing. Set up an account and payment authorities appropriate to the LLP. Review any professional permission, insurance or client-contract requirements that apply to the practice.
Separate the legal formation from the members' bargain
Prepare two coordinated packs. The incorporation pack supplies the information Companies House needs to create the LLP. The membership pack records the commercial and governance arrangements between members. Check that names, designated roles and intended ownership or control information are consistent, while recognising that an accepted registration does not settle every private agreement.
An illustrative two-member consultancy might agree equal profit allocation but different initial capital contributions. Its incorporation should not be treated as evidence that the contributions are equal simply because both people appear as members. Retain the contribution agreement and payment evidence for the opening records.
Choose the filing route before scheduling the launch
The official incorporation guidance describes software and paper routes. Confirm the current requirements, fee and provider terms for the route you intend to use. If an agent offers an online application, establish whether its charge includes only submission or also document preparation and recurring services. [2]
Leave time for questions about the proposed name, contact information or members. Do not promise a client that the LLP already exists while the application is still pending. If a commitment must be made earlier, obtain advice on the correct parties and how the arrangement would move to the LLP after incorporation.
Resolve identity preparation person by person
List the proposed individual and corporate members and their relevant roles. Follow current official instructions for identity and control reporting rather than assuming a single rule applies to every person and entity. Record which information is ready and which step remains outstanding.
If a provider is handling a regulated verification step, establish that it is authorised for that work and agree the information-sharing channel. Keep personal codes and identity evidence out of an ordinary public enquiry form. A project checklist can record readiness without exposing the sensitive information itself.
Check the accepted record before opening accounts
Compare the certificate, LLP number, registered office and membership information with the approved application. Keep the final accepted documents separate from drafts circulated while the founders were still deciding the name or roles. Give banks and advisers the accepted details so they do not build new records from an obsolete version.
Arrange access to the registered email and official post. Decide who handles tax registration, bookkeeping and the first compliance calendar. Each task should have a named coordinator and a clear completion record, particularly where different agents handle formation and ongoing accounts.
If an existing practice is moving into the LLP, create a separate transfer plan for clients, assets, staff and insurance. Registration is the point at which the new entity is created; it is not an automatic assignment of every contract and right belonging to the previous business. A coordinated launch checks both the registration and the operational handover before the LLP begins taking on work.
Registration establishes the entity but does not transfer an existing practice into it automatically. If partners are moving work, staff, assets or contracts from another business, plan that transfer separately and obtain the relevant advice and consents.

Frequently asked questions
Can I register an LLP with one member?
An LLP is established with at least two members under the official guidance. Review the structure before applying.
Does registration replace the LLP agreement?
No. The agreement explains how the members will run the LLP and manage their rights and obligations.
Does an online formation package always include an LLP agreement?
Check the exact scope. A package may only submit supplied information, while the members still need suitable terms for capital, profits, authority and departure. Ask which documents are included, who prepares them and what ongoing services renew after the initial application.
Can we give a bank the application before incorporation is accepted?
A bank may explain its preparation requirements, but do not present a pending application as proof of an existing LLP. Once accepted, use the certificate and verified details required by the provider, and replace any outdated draft information supplied during preparation.
