Tax treatment of company entertaining

Review company entertaining costs by identifying attendees, purpose, staff elements and the separate accounting, tax and VAT questions.

Jurisdiction: United Kingdom.

Client entertaining is generally specifically disallowed in calculating Corporation Tax profits, even where the business considers it commercially useful. Record the cost in the accounts appropriately, then make the required tax adjustment. Staff entertaining and mixed events need their own analysis.

Keep the attendee list, business purpose and cost breakdown. Distinguish Corporation Tax from VAT recovery and employment benefit questions; one conclusion does not automatically answer all three. Do not reclassify hospitality as advertising solely to obtain a deduction.

Describe the event and who benefited

Record the event, purpose, attendees and their relationship to the company. Separate customers, prospective customers, staff and other guests where that matters. A receipt for a restaurant or venue does not establish the nature of the hospitality. Keep the invitation, agenda or other useful evidence without collecting unnecessary personal detail unrelated to the accounting and tax assessment.

HMRC identifies client entertaining as specifically disallowed for Corporation Tax even where the company considers it commercially useful. [1] Record the actual cost in the accounts appropriately and make the relevant tax adjustment. Do not remove the transaction from the books or change its description to advertising merely because management expected the event to generate business.

Distinguish staff events and mixed arrangements

Staff entertainment requires its own assessment. If an event includes clients, directors, employees and family members, provide an attendee and cost breakdown rather than applying a single assumption to the total. Ask the accountant whether a supported allocation is appropriate. A label such as team event does not resolve the treatment if the actual audience and purpose differ.

Employment benefit and reporting questions are separate from the company's Corporation Tax deduction. HMRC provides guidance on social functions and parties. [2] Do not treat a benefits exemption threshold as a universal Corporation Tax allowance, or assume that exceeding a personal-benefit condition produces the same result for every tax. Keep the different conclusions recorded distinctly.

Review sponsorship, promotions and ordinary subsistence

A commercial advertising arrangement or genuine business travel cost may raise different questions from hospitality. Examine what was supplied and the reason for the expenditure. If a sponsorship package includes tickets, meals and advertising, keep the agreement and itemised evidence. Do not allocate the whole price to publicity simply because that description offers a more favourable tax result.

Use Company donations and tax questions for charity-related packages and Motor expenses in a limited company for motor or travel arrangements. Ask the accountant to distinguish categories based on the facts and applicable rules. A meeting occurring during a trip does not automatically turn all food, accommodation and guest costs into the same type of deductible expense.

Keep VAT and reimbursement decisions separate

VAT recovery can have its own restrictions and evidence requirements. Do not infer the VAT result solely from the Corporation Tax adjustment. Where a director or employee paid, record reimbursement and any benefits assessment through the appropriate process. Use Director expenses and company records to avoid confusing the expense classification with the amount owed to the person who initially paid.

Check duplicate claims and deposits. An event booking may be paid in stages, with a final invoice covering the total. Reconcile each payment and any refund rather than posting the deposit and full invoice as two separate costs. Keep cancellations and changes in attendance visible where they affect the actual amount or nature of the expenditure.

For Corporation Tax record review, provide the event evidence, attendee categories, invoices and proposed treatment. Ask for a clear separation of accounting, Corporation Tax, VAT and employment-benefit conclusions. Record the reason for any allocation or adjustment and retain it with the return file. For recurring events, use the review to create a practical evidence checklist before the next booking, while reassessing changed facts instead of treating last year's conclusion as permanent approval.

Analyse an event with mixed attendees

Prepare an attendee breakdown showing employees, clients, suppliers and any other guests, together with the purpose and cost details. Keep the invitation and programme where they help explain the event. A description such as team celebration may be incomplete if a substantial part of the audience consists of customers.

Ask the adviser to assess the relevant company deduction, employee benefit and VAT questions separately. Do not assume that an exemption or treatment for one purpose decides the others. Where costs need allocation, preserve the method and supporting figures. This is especially useful for a combined training and hospitality event, where different activities and beneficiaries can be hidden inside a single venue invoice and an undifferentiated expense code in the ledger.

Illustrative scenario

A company hosts an event attended by employees, customers and directors' guests. The accountant asks for attendee and cost details to assess the different elements. A single restaurant receipt with no explanation would not support a reliable allocation or the separate tax and reporting decisions.

Preparation checklist

  • Record attendees and their relationship to the company.
  • Describe the purpose and any mixed elements.
  • Keep invoices and a supported cost breakdown.
  • Assess Corporation Tax, VAT and benefits separately.

Frequently asked questions

Is client entertaining deductible because it helped win work?

Commercial usefulness does not remove the specific Corporation Tax restriction. Record the cost accurately and assess the required tax adjustment rather than relabelling the transaction.

Are staff parties treated exactly like client events?

No. Review the attendees, purpose and applicable rules. Mixed events and employee-benefit questions need their own analysis and supporting breakdown.

Does the VAT result follow the Corporation Tax result?

Not automatically. VAT recovery, company deductibility and employment reporting are separate questions that may use different conditions and evidence.

What records should an event organiser keep?

Retain invoices, payment details, purpose and relevant attendee categories, plus package terms where benefits are mixed. This supports a factual assessment without reconstructing the event at year end.
