Check the location and suitability
The registered office must be a physical address in the part of the UK in which the LLP is registered, subject to the relevant registration rules. A move between jurisdictions is not an ordinary address amendment. Check the current guidance before making commitments to a proposed provider. [1][2]
The address must be appropriate: correspondence delivered there should come to the attention of someone acting for the LLP, and delivery should be capable of acknowledgement. A PO Box alone is not sufficient. Review the actual handling arrangements rather than accepting a provider's marketing description.
Agree the change internally
Check the LLP agreement for the authority to select the address, sign service terms and approve the change. Record the decision and identify the person responsible for filing. Designated members should ensure the administrative work is completed, even where an agent handles the submission.
For a serviced office, understand the cost, termination terms, mail-scanning arrangements and treatment of urgent legal documents. Decide who monitors incoming correspondence and who acts as backup during absence.
Submit and verify the filing
Use the current Companies House process for notifying the LLP address change. Confirm the LLP name and number, enter the new address accurately and retain the submission acknowledgement. Do not close the old mail arrangement prematurely. Important correspondence may already be in transit or may still be sent to an older address held by another organisation.
Update the wider business records
- Notify HMRC where a separate update is required.
- Update bank, insurer, lender and professional body records.
- Review invoices, letters, terms and website disclosures.
- Notify key counterparties using verified contact channels.
- Check addresses for service in important agreements.
- Keep a record of the previous address and change date.
A registered office is not necessarily the trading premises or a member's correspondence address. Review those records separately and change only the entries that should actually change.
Keep the registered email under review
Work backwards from the old provider's end date
Check when permission to use the existing address ends and what happens to post received afterwards. Obtain written permission for the new address before cancelling the old service. Allow time for the required filing and for organisations holding separate address records to process their updates.
An illustrative LLP may be moving because its accountant no longer offers address services. That does not necessarily mean the accountant will forward post indefinitely. Confirm the handover terms, the new mail contact and any charges for forwarding originals during the transition.
Test receipt of urgent correspondence
Ask the new provider how it handles a document delivered by hand, a recorded letter and ordinary post. Establish who is notified, how quickly copies are made available and how the LLP obtains originals. A description such as virtual office is not enough to explain these procedures.
Nominate a member and a backup to monitor the notifications. If the main contact is unavailable, someone else should know whether a letter needs prompt attention. The provider may deliver documents but not assess their legal significance, so the LLP still needs an internal process for acting on them.
Distinguish the addresses held for different purposes
The registered office, actual trading premises, member service addresses and contract notice addresses may differ. Make a list of each address and the reason it is used. Change the correct records rather than replacing every address field with the new registered office automatically.
For example, a lease may require notices to be sent to a specified contact or place. Ask whether the address change requires a separate notice under that contract. Updating Companies House alone does not tell the landlord that the contractual notice destination has changed.
Confirm the result before publishing revised details
Retain the submission and acceptance information and check the company-register entry. Then update the affected website disclosures, invoice templates and correspondence. Use the LLP's actual registered details and avoid describing an address service as a staffed client office unless that facility genuinely forms part of the arrangement.
Notify banks, insurers and professional bodies through their established processes. Be prepared to provide the evidence they request, particularly where they distinguish a correspondence address from the place where the LLP operates. Keep a simple record of which updates have been acknowledged.
Finally, review the registered email and adviser access. A physical move often coincides with a change of people or systems, and either can interrupt official communications. The successful outcome is continuity of receipt and action, not merely a new address appearing in the website footer. Reconcile the handover list after the first post arrives to identify any organisation still using an outdated record.
The LLP's registered email is a separate requirement and should remain monitored. Moving premises may coincide with staff or provider changes that also affect access to that mailbox.
