Director resignation: a handover checklist

Resign as a company director with a clear effective date, evidence of notice, Companies House notification and a practical handover of responsibilities.

A director resignation should leave a clear record of when the office ends and what happens to outstanding work. Resigning from the board is not necessarily the same as leaving employment, selling shares or being released from a guarantee. Plan those relationships separately.

Read the applicable documents

Check the articles and service or employment agreement for the resignation process and any notice obligations. The model articles include a cessation mechanism on receipt of a resignation notification taking effect according to its terms, but the company's actual wording should be reviewed. [2]

Use a written notice that identifies the company and intended effective date. Keep evidence of delivery to the appropriate recipient. Avoid relying solely on an informal conversation whose timing or meaning may later be disputed.

Record the company's continuing arrangements

Identify who will take responsibility for filings, banking approvals, staff supervision and current negotiations. Consider whether the remaining board meets the company's constitutional and statutory requirements. The departure of the only active administrator can create practical gaps even where other directors remain.

An outgoing director should provide an accurate handover of matters they know need attention. Do not remove company records or leave the company without access to systems as a substitute for resolving a disagreement.

Make the Companies House notification

Director changes have event-specific reporting requirements, including the relevant fourteen-day notification period. Ensure the actual cessation date is reported and retain the accepted filing. A resignation should not be backdated merely to improve the appearance of the record. [1]

If the company fails to make the expected notification, seek advice on the appropriate next step and preserve the resignation evidence. Do not assume a register entry alone determines every issue about the effective departure.

Resolve the separate financial and ownership issues

Agree the treatment of salary, expenses, loans and shares through the appropriate processes. A creditor's release may be necessary for a guarantee, and a share transfer may require consents and tax work.

Resignation does not erase responsibility for earlier conduct. Retain appropriate evidence of decisions and seek advice where there are unresolved concerns about the company's finances or actions.

Write the notice so the effective date is clear

Check the articles and any service agreement before sending a resignation. Identify the intended recipient, delivery method and date on which the office is to end. Where the wording depends on a future event, explain that condition accurately. Keep evidence of delivery and any acknowledgement rather than relying on an informal conversation that others remember differently.

Do not use the resignation letter to imply that all other relationships have ended unless that is supported by separate arrangements. A director may remain an employee, shareholder, lender or guarantor. List those continuing connections in the departure plan so neither side assumes that a short notice resolves them automatically.

Transfer responsibility for live decisions

Prepare a schedule of outstanding approvals, filings, negotiations and official correspondence. For each item, identify its current stage, deadline and document location. A successor needs to know whether a contract is merely being discussed, approved subject to changes or ready for signature. These distinctions can be lost in a general statement that the projects have been handed over.

Include matters that are difficult or incomplete, such as a tax enquiry or unresolved customer dispute. The handover should describe the facts and available evidence without concealing problems to make the departure smoother. Where professional advice is involved, identify the adviser and agreed contact route for continuing work.

Change access in a controlled sequence

Recover company records and transfer administration rights before disabling necessary accounts. Preserve relevant business correspondence, particularly where personal email or devices were used. Avoid deleting evidence or copying company confidential material for unrelated personal use. Agree an appropriate method for separating company records from private information.

For an illustrative example, an outgoing director controls a domain, payroll approval and a shared document account. Each needs a separate transfer or permission change. Removing the director from the public register does not update those systems, and deleting their account before transferring ownership can disrupt access for the whole team.

Verify the remaining obligations

Check the Companies House notification and retain its acceptance. Review bank mandates, guarantees, expenses, loans and any share-transfer obligations separately. Ask for actual release evidence where a lender's consent is needed. A company promise to seek release later is not the same as a release already given by the beneficiary.
