Connect the filing with the actual company decision
A change on the company register should be supported by a clear understanding of what has happened within the business. Yudey helps organise director and people with significant control changes, from the initial facts through to an agreed reporting plan. We ask whether the change is proposed, already effective or disputed, because those situations require different preparation and professional input.
The engagement can cover an information review, a supporting-document checklist and preparation or coordination of specified filings. We explain which stages are included before work begins. Updating an entry should not be confused with resolving the underlying appointment, resignation, share transaction or control arrangement. Where the corporate action itself needs advice or drafting, that is identified as a separate or expressly included task.
Establish the people, roles and dates
We start with the company number, the role affected and the proposed or actual effective date. For a director change, relevant evidence may include the appointment decision, resignation correspondence or other company records. We identify gaps and inconsistencies, including situations where different documents describe different dates. The company's authorised decision-makers need to resolve those points before approving the particulars.
For a change of control, we consider the ownership and voting arrangements described by you rather than looking only at a name on a share certificate. Companies House guidance explains the different conditions for identifying people with significant control. [1] Complex chains, unusual rights or corporate participants may need specialist analysis. We flag that need instead of treating all ownership structures as a simple percentage exercise.
Keep internal and public records aligned
The review can identify the internal documents that should be considered alongside the reporting step. Depending on the change, these may include company approvals, ownership records, agreements and correspondence. We distinguish documents that establish the transaction from records that report it. A filing receipt alone does not answer every question about whether the company's internal procedure was properly followed.
We can also identify related actions, such as authority to sign contracts, banking access or the handover of company information. Those operational updates are not automatically completed by notifying Companies House. The action list makes the boundary visible so the business can allocate responsibility. Access changes and communications with banks or other third parties require express instructions and an appropriate process.
Address verification and reporting dependencies
Identity verification requirements depend on the person's role and the applicable timetable. The official guidance explains how verification and personal codes connect with company roles. [2] We check the relevant dependency when scoping your change, rather than assuming that a person who has completed one step has automatically fulfilled every role-specific requirement.
Do not include identity documents, account passwords or personal codes in the initial enquiry. If the agreed work needs protected information, we explain the handling route after the engagement has been defined. Any authorised provider's role is confirmed before that service is used. This page does not represent Yudey as an authorised corporate service provider or promise that a review includes identity verification.
Deal carefully with disagreements and historical errors
A contested director removal or disputed ownership arrangement requires more than routine administration. Tell us at the outset if someone disagrees with the change or alleges that information was filed without authority. We need to understand who is instructing the work and whether independent representation is required. We will not treat a disputed account as an established fact for filing purposes.
Historical discrepancies may also require a specific correction route. The review can identify what evidence is missing and what procedure should be considered, but it cannot promise that an old entry will be deleted or altered. Formal correspondence, contested applications and court work are separately scoped. An initial enquiry does not suspend a filing obligation or create an accepted commitment to meet a deadline.
Know what will be handed over
The agreed handover can contain a summary of the change, approved reporting particulars, supporting-record references and evidence of any submission included in the engagement. It distinguishes completed work from items awaiting official processing or further information. We also identify any follow-up that belongs to the company, another adviser or a separately instructed professional.
The written quotation reflects the number of changes, the quality of the records and any complexity in the control arrangements. It states professional charges in pounds sterling, applicable VAT and third-party costs. To start, provide the company number, type of change, relevant date and a short explanation of any difficulty. We will clarify the deliverables and suitable professional involvement before collecting the detailed file.
